01 Introduction
Welcome to Omnivex, LLC (“Omnivex,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website (omnivexco.com) and our suite of AI services, including Axiom, Yabble, Konekt, Inspi, and any related applications (collectively, the “Services”). By accessing our Services, you are entering into a binding legal agreement with Omnivex.
02 Eligibility
The Services are strictly for users aged 13 and older. By using our Services, you represent and warrant that you meet this age requirement and have the full right, power, and authority to enter into these Terms. Corporate entities using the Services must be represented by an authorized agent.
03 User Accounts
Access to certain features requires an account. You are solely responsible for safeguarding your credentials. Omnivex is not liable for any loss or damage arising from your failure to protect your account. You agree to provide current, accurate, and complete information during registration.
04 Use of Services
You agree to use the Services lawfully. Prohibited activities include, but are not limited to:
- ● Using the Services to violate applicable laws or regulations.
- ● Reverse engineering, decompiling, or attempting to derive source code.
- ● Distributing malware, viruses, or harmful code.
- ● Overloading infrastructure via DDoS or automated scraping.
05 Intellectual Property
The Omnivex platform, inclusive of algorithms, models, designs, and code, is the exclusive property of Omnivex, LLC. We grant you a limited, revocable, non-exclusive license to use the Services for personal or internal business purposes, strictly in accordance with these Terms.
06 User Content
You retain ownership rights to content you submit (“User Content”). However, by submitting content, you grant Omnivex a worldwide, royalty-free license to host, store, use, and process such content solely for the purpose of providing, improving, and securing the Services.
07 Payments & Subscriptions
Paid Services are billed in advance. All fees are non-refundable unless expressly stated otherwise. You authorize us to charge your designated payment method for all applicable fees. Omnivex reserves the right to modify pricing structures with reasonable notice.
08 Custom Plans & Resource Allocation
User Autonomy: Users subscribed to Custom Plans (“Orrin Custom Subscription”) retain full discretion over the allocation and configuration of platform resources. This includes cloud memory provisioning, AI credit scaling, usage thresholds for premium features-such as Anew, Proofer, and Lumen-and custom video upload limits (in megabytes) for features requiring enhanced media processing.
Per-Unit Pricing: In exchange for this flexibility, Omnivex, LLC reserves the right to price these resources on a granular, per-unit basis (e.g., per gigabyte-month of cloud memory, per AI credit, per video-processing unit). The total cost of a Custom Plan is dynamic and reflects the User’s selected resource levels, enabled features, and actual usage.
Price Volatility & Notifications
Due to fluctuating infrastructure, compute availability, and energy costs, per-unit resource
prices may increase over time. Omnivex, LLC may adjust these rates at its discretion.
When such changes occur, reasonable efforts will be made to notify affected Users via email or via
the Service dashboard prior to the billing cycle in which updated pricing takes effect. Continued
use after notice constitutes acceptance of the revised rates.
Users subscribed to Custom Plans will have 30 days from the time of notice to
update their subscription to reflect the new pricing. Failure to update within this period may
result in cancellation at the discretion of Omnivex, LLC to ensure all allocated resources remain
fully paid under the revised pricing model.
09 Unlimited Plans
Omnivex offers “Unlimited” subscription tiers designed to provide Users with expanded access to select
platform features without traditional usage ceilings. These tiers grant enhanced allowances, including
elevated AI credit pools, increased cloud memory capacity, accelerated task processing, and higher
thresholds across premium features such as Anew, Proofer, and Lumen.
While Unlimited Plans remove standard usage limits, certain Fair Use and Resource Integrity safeguards may
apply to maintain system stability, prevent abuse, and ensure equitable access for all Users. Omnivex, LLC
may implement soft-usage thresholds, temporary rate limits, or require plan adjustments if usage patterns
pose a risk to platform performance or infrastructure health.
Use of Unlimited Plans is subject to ongoing compliance with these Terms and any additional plan-specific
documentation presented at the time of subscription.
10 Payments & Stripe Processing
All transactions conducted through web-based applications - including payments for Custom Plans, Unlimited
Plans, and any other purchases completed through the web interface - are processed securely through
Stripe. By initiating a web-based transaction, you authorize Stripe to manage and process your payment
information in accordance with their compliance standards, privacy practices, and security protocols.
Omnivex, LLC does not store or directly handle your full payment credentials; all sensitive payment data
is managed exclusively by Stripe.
Users are encouraged to review Stripe’s Privacy Policy and Terms of Service before
completing a web-based purchase. Your use of these plans and services constitutes acknowledgment that your
payment data is governed by Stripe’s policies.
For in-app purchases made on iOS or macOS devices, payment processing is handled through Apple Pay and is
not routed through Stripe. Users should refer to Section 11 for details regarding Apple
Pay and Apple’s in-app purchase framework.
11 Apple Pay & In-App Purchases
All transactions completed within iOS or macOS applications - including one-time purchases, consumable
credit packs, feature unlocks, enhanced usage tiers, and all other in-app purchase types - are processed
exclusively through Apple Pay and Apple’s in-app purchase ecosystem. These payments are
not processed through Stripe.
Exception: Unlimited Plans and Custom Plans are not available through in-app
purchase and must be purchased and processed through Stripe.
By completing an in-app purchase, you agree to comply with Apple’s billing rules, refund procedures, and
digital goods regulations. Apple manages all payment authorization, transaction security, verification,
and refund eligibility for these purchases. Omnivex, LLC does not have access to your full payment details
for any Apple-handled transaction.
Users are responsible for ensuring their Apple ID, device settings, and payment methods remain valid.
Apple may automatically charge Users for recurring or subscription-based items in accordance with its
policies.
Any disputes, refund requests, or billing inquiries for Apple Pay transactions must be directed to Apple
Support. Omnivex, LLC may provide contextual assistance but does not possess the authority to issue,
reverse, or modify refunds for transactions processed through Apple Pay.
12 Termination & Inactivity
We may terminate or suspend access immediately, without prior notice, for conduct that violates these Terms. Upon termination, your right to use the Services ceases.
Inactivity Policy: Accounts found inactive for more than 50 consecutive days are subject to:
- Classification as "Inactive" (archived state).
- Permanent deletion, particularly for accounts registered with temporary or disposable email addresses (e.g., Apple Private Relay).
13 Limitation of Liability
To the maximum extent permitted by law, Omnivex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data. Our aggregate liability shall not exceed the amount paid by you to Omnivex in the 12 months preceding the claim.
14 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
15 Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.
